HOA Central Terms of Service

Welcome to HOA Central (“HOA Central,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, mobile application, products, and services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement.

2. User Accounts

To access certain features, you must create an account. You agree to:

Provide accurate, current, and complete information.
Maintain the security of your login credentials.
Notify us of any unauthorized use of your account.
Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts at our discretion.

You retain ownership of your User Content, but by submitting it, you grant HOA Central a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, modify, and distribute such content as needed to operate the Services.

You represent that you have the necessary rights to submit your User Content and that it does not violate any laws or the rights of others.

5. HOA and Community Data

Certain features allow HOAs, boards, management companies, or designated administrators to upload community documents, ARB/ARC requests, compliance records, financial details, and other community-related information. By using these features, you acknowledge and agree that:

HOA Central is not responsible for verifying the accuracy of community-entered data.
Community administrators are responsible for maintaining proper access settings.
HOA Central may provide tools, but decisions (e.g., approvals, fines, compliance actions) belong solely to the community and its governing board.

6. Messaging and Communications

The Services may include direct messaging, group messaging, mass email notifications, event alerts, and automated system communications. You consent to receive communications from the Services, including push notifications, emails, and SMS (if enabled by your community).

7. Payment Processing

Some HOAs may use the Services to link to or enable third-party payment processors (e.g., Stripe, PayPal). HOA Central does not store your full payment information and is not responsible for:

Processing errors, delays, or disputes handled by third-party gateways.
Fees set by your HOA or payment provider.

8. App Updates and Modifications

We may update, modify, or discontinue features at any time. We are not liable for any loss of functionality or data resulting from these changes, although we will make reasonable efforts to maintain continuity.

9. Third-Party Links and Services

The Services may link to third-party websites, apps, or tools. HOA Central is not responsible for the content, privacy practices, or actions of these third parties.

10. Termination

We may suspend or terminate your access at any time for violations of these Terms or for any other reason at our discretion. You may stop using the Services at any time.

11. Disclaimers

The Services are provided “as-is” and “as available” without warranties of any kind, express or implied. We do not guarantee:

uninterrupted or error-free operation,
accuracy of community-provided information,
that security measures will prevent all unauthorized access.

12. Limitation of Liability

To the maximum extent permitted by law, HOA Central and its owners, employees, and affiliates shall not be liable for any:

indirect, incidental, or consequential damages,
loss of data, profits, or goodwill,
damages related to conduct or content from users, HOAs, or third parties.

Your sole remedy for dissatisfaction with the Services is to discontinue use.

13. Indemnification

You agree to defend, indemnify, and hold harmless HOA Central from any claims, liabilities, damages, losses, and expenses arising out of:

your use of the Services,
your User Content,
your violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

15. Changes to the Terms

We may update these Terms at any time. Continued use of the Services means you accept the revised Terms.
